David Danziger, director of American Apparel Inc., Los Angeles, who had served as co-chairman until this past December, has resigned from the company’s board, according to a BloombergBusiness report.
CEO Paula Schneider will fill Danziger’s board position.
The company also announced plans to add another independent director to the board, part of an agreement made with shareholder Jeffrey Kolb, who had threatened to start a proxy battle for board seats, according to the report. This issue was part of a broader battle with American Apparel founder and ex-CEO Dov Charney, as Kolb previously worked for Charney and was viewed as his ally in a potential proxy contest.
American Apparel still is engaged in a separate legal showdown with Charney, who has been trying to reestablish control at the company since his removal last year. The company has accused him of organizing a “scorched earth campaign” to regain control, which is in violation of an agreement made regarding his departure. Earlier this month, a judge ordered Charney to end his criticism of American Apparel. — L.M.
